**Team Overview**

Citis Legal Department in Belfast is a team of approximately 170 staff, covering a range of products and services across Citis Europe Middle East and Africa region (known as EMEA).

The EMEA Legal division is a critical part of the Citi organisation and many of the processes within Citi. It provides a wide range of services, support and advice to many business areas, including general advice, transaction negotiation, document drafting and execution, as well as oversight of regulatory developments and requirements.

**Role Overview**

The position offers a commercially-minded finance lawyer the opportunity to be part of the EMEA Legal Issuance Solutions team supporting Citis global structured products issuance activity across the Markets & Securities Services (Markets) division of Citis Institutional Clients Group, including the G10 Rates (Rates), Global Spread Products (GSP), Multi Asset Group (MAG), and Equities businesses.

These businesses are involved in:

(1) the development and distribution of a wide range of structured investment products (including notes, warrants, repackagings and funds) for institutions, family offices, discretionary wealth managers, private banks and retail distributors, and are linked to a variety of asset classes, including equities, bonds, interest rates, credit, commodities and FX; and

(2) the issuance of structured notes (including credit-linked notes and repackagings) primarily to institutional investors.

The role involves providing legal advice and transaction management support for the Rates, GSP, MAG and Equities businesses in connection with structured products activity across EMEA, APAC, Japan, US (144A only) and LatAm, as applicable. The responsibilities of the team include the maintenance of a number of structured debt issuance programmes (including Citi balance sheet issuers and SPVs); management of product issuance; advising on legal and regulatory requirements; and assisting the business in product innovation, strategic initiatives and technology projects.

**Key Responsibilities**

+ The EMEA Legal Issuance Solutions team supports the Rates, GSP, MAG, and Equities issuance businesses works closely with the product structuring and trading desks in London, New York, Japan and APAC, providing essential partnership to the product lawyers supporting those desks, as well as to business management and, where applicable, sales teams across EMEA, US (for 144A only), APAC, Japan and LatAm, acting as an important partner to provide advice and assistance at all stages of the product lifecycle, including assisting in the structuring of transactions, managing the trade execution process, advising on regulatory matters and drafting, reviewing and negotiating documentation of all types. The successful candidate will have exposure to structured products, with embedded credit derivative technology, so a good knowledge of the credit derivatives definitions and related market documentation would be useful. Excellent organisational and drafting skills are a pre-requisite and understanding of securities laws would be helpful.

+ The team is responsible for innovative and complex/solutions-style product issuance, managing and updating Citi's structured debt issuance programmes (including a number of SPV programmes that Citi trades with), platform development and expansion as required by business needs, advising the business on relevant legal and regulatory issues relating to the programmes, public offers, exchange listings, new markets, new products/structures and platforms, negotiation of distribution agreements, technology solutions, website initiatives and marketing materials. As the supported businesses operate on a global basis, the role will involve direct responsibility for transactions in EMEA and the Reg S/144A structured debt issuance programmes used globally outside the US. The role involves significant partnership with senior business partners and Legal colleagues in London and across EMEA, the US and Asia.

+ The role involves maintaining an awareness of current and developing regulatory requirements applicable to Citis structured products activity, including the Prospectus Directive, PRIIPs, MiFID, EMIR, AIFMD and domestic laws and regulations, to the extent relevant to the supported business activity.

+ The successful candidate will be expected to be involved in the management of Citis legal risk and to consider the appropriateness of products both for investors and for Citi in its capacity as arranger of such transactions. Therefore, commercial awareness and good judgment are essential skills. As part of the internal control architecture of the firm, the Legal function plays an important role in the approval process for all new and/or innovative structures as well as protecting the Citi franchise through good judgment and compliance with firm-wide policies.

+ Further, although the position will have a specific focus on the above businesses, the selected applicant will work with colleagues in the larger Belfast/Dublin Markets Legal team and will be required to work overarching initiatives, including involvement in the Legal Opinions Committee review process and will have the opportunity to work on a variety of matters required to support other businesses covered by Markets Legal.

+ General financial law and transaction experience, with an emphasis on capital markets and debt issuance.

+ Experience obtained either in private practice or in-house.

+ Experience drafting, structuring and negotiating documentation for financial transactions and investments(preferably involving debt issuance programmes).

+ Broad knowledge of financial services legal and regulatory issues.


+ Excellent technical skills and analytical ability.

+ Strong business judgement and commercial awareness.

+ Strong attention to detail and high levels of accuracy

+ Good communication skills (both written and oral).

+ Planning and organisational skills.
