SmithBucklin, a 100 percent employee-owned association management company, is looking for a Contract Paralegal. The Contract Paralegal will assist the Chief Legal Officer (CLO) with the day-to day activities needed to support the company's legal and internal/industry compliance functions.

What you will do:

  • Manage the contracting process for all corporate agreements (e.g. service agreements, statements of work, NDAs, employment agreements, etc.) from development/review through execution.
  • Perform light drafting of agreements utilizing both template and some custom language, under the supervision of the CLO.
  • Organize and manage all corporate agreements and other substantive corporate documents, utilizing the company's management systems.
  • Assist in the creation and ongoing management of a compliance program related to the company's industry accreditation.
  • Develop and manage content for company intranet communicating legal information.
  • Coordinate internal legal education programs to an employee audience.
  • Support the engagement of outside counsel for specialty legal work.
  • Maintain and help draft corporate records, including resolutions, annual reports, etc.
  • Assist in the production of documents related to the development and implementation of corporate policies and templates.
  • Provide administrative support for documents and activities related to corporate acquisitions.
  • Facilitate the management/renewal of corporate trademarks.
  • Support legal and administrative components of the company's annual stock offering for its Employee Stock Ownership Plan.
  • Provide support for the company's annual insurance procurement and its programs for acquiring insurance on behalf of clients.
  • Engage in high degrees of interaction with other company executives, employees and clients on various items.
  • Perform other related duties as assigned.

About You:

  • Ability to interact with people at all levels of the corporate structure, prioritize and handle numerous competing demands in a high-volume, fast-paced working environment
  • Excellent organizational skills
  • Proven ability to work effectively in independent settings
  • Ability to communicate effectively with a variety of contacts including outside attorneys, senior management, and business associates
  • Outstanding verbal and written communication skills
  • Strong computer skills, including proficiency with Word, Excel and Power Point
  • Paralegal certificate from an ABA accredited program preferred, or a combination of education and/or experience
  • Minimum 2-3 years of corporate law firm and/or in-house experience working with basic commercial contracts and general corporate matters.
