JOB SUMMARY:

The Assistant General Counsel is a member of the CareQuest Institute Law Department, reporting to the EVP, Chief Legal Officer. Working collaboratively with team leaders and members of CareQuest Institute and its affiliates and subsidiaries (the Enterprise), the Assistant General Counsel provides a broad range of legal services to the Enterprise in furtherance of its mission.

PRIMARY JOB RESPONSIBILITIES:

The Assistant General Counsel has direct primary responsibility for one or more of the following activities:

  • In collaboration with Chief Legal Officer and the Chief of Staff, support the governance function for multiple corporate entities, including handling entity formation/dissolutions and registration; drafting governing documents, resolutions and consents; overseeing corporate recordkeeping.
  • Prepare, manage and track corporate and regulatory filings and develop appropriate systems to track to ensure timely filings.
  • Draft, review, and negotiate a variety of contracts, such as license agreements; data use and sharing agreements, vendor agreements; consulting agreements, NDAs, affiliation agreements, partnership agreements.
  • Conduct legal reviews and approval of publications, marketing material, external and internal facing communications and press releases.
  • Support the Enterprises efforts in protecting its intellectual capital and property, including researching issues related to the copyrights, service marks or trademarks.
  • Support the Enterprises government affairs function by reviewing, analyzing and commenting on legislative and regulatory issues, as requested
  • In conjunction with the Associate General Counsel, provide legal support to Delta Dental of Massachusetts (DDMA), including handling all legal and administrative proceedings related to consumer complaints filed with the Office of the Attorney General, Department of Insurance, and small claims court, and supporting DDMAs provider relations/contracting function.
  • Review and respond to subpoenas, record requests, subrogation, liens, and garnishments. requests/requirements.
  • Support the Enterprises impact investing activities, including reviewing relevant agreements such as subscription and purchase agreements, and conducting legal and regulatory due diligence.
  • Provide legal support for various corporate functions, including Marketing, Human Resources, IT, Operations, and Finance.
  • Support and assist Chief Legal Officer and other team members with various transactional and other legal projects.
  • Other duties as needed or required.

JOB QUALIFICATIONS:

Required:

  • J.D from an accredited United States law school.
  • Admission to the Massachusetts Bar.
  • 3 + years of legal experience in a law firm or in-house setting.
  • Experience with healthcare or insurance laws.
  • Able to assume a high level of individual responsibility, to manage multiple projects and responsibilities simultaneously, and to work collaboratively with both legal and non-legal colleagues
  • Highly organized with a strong attention to detail.
  • Ability to think critically
  • Proficiency in MS Office, excellent legal research skills, experience with Westlaw and LexisNexis.
  • Good communication and interpersonal skills.
  • Demonstrated ability to work in either a remote or hybrid model, with availability during business hours.
  • Attends additional training as requested/deemed necessary.

Preferred:

  • Experience with Intellectual Property issues and licensing agreements.
  • Experience with commercial contracting, and corporate and investment transactions.
  • Experience with consumer complaints and litigation.
  • Experience with insurance and payor/provider contracting.
  • Experience with HIPAA and privacy laws.

PHYSICAL DEMANDS:

  • Incumbent must be able to communicate effectively.
  • Requires overall light physical effort (up to 25lbs.)
  • Manual dexterity and sitting is required in carrying out position responsibilities
  • Ability to travel or move about, within, and outside facilities required.
  • Incumbent works primarily in either a private or shared office environment.
